Facebook investors to cash out more shares

(AP) ? Insiders and early Facebook investors are taking advantage of increasing investor demand and selling more of their stock in the company's initial public offering, the company said Wednesday.

Facebook said in a regulatory filing that 84 million shares, worth up to $3.2 billion, are being added to what's shaping up to be the decade's hottest IPO.

Facebook's stock is expected to begin trading on the Nasdaq Stock Market on Friday under the ticker symbol "FB".

The entire increase comes from insiders and early investors, so the company won't benefit from the additional sales.

The biggest increases come from investment firms DST Global and Tiger Global. Goldman Sachs is doubling the number of shares it is selling. Facebook board members Peter Thiel and James Breyer are also selling more shares.

Founder Mark Zuckerberg isn't increasing the number of shares he's selling.

The news comes a day after Facebook raised the expected price of the stock to a range of $34 to $38 per share, up from its previous range of $28 to $35.

At the high end of the price range, the IPO would raise $16 billion without the overallotment option reserved to meet extra demand. That would make it the third-largest U.S. IPO in history, ahead of General Motors in 2010, according to Renaissance Capital.

The IPO is the most anticipated in years and would value Facebook overall at more than $100 billion.

The offering is expected to get a final price Thursday evening.

In a filing with the Securities and Exchange Commission, Facebook said current shareholders are now offering approximately 241 million shares, up from about 157 million shares previously.

Even though Zuckerberg isn't increasing the number of shares he is selling, the additional sales will trim his voting control to 55.8 percent from 57.3 percent. That's because he has voting control over some shares now owned by investment firms, which will be sold in the offering.

The run-up to Facebook's IPO occurs as companies debate the effectiveness of Facebook as an advertising platform. That examination sharpened Tuesday, when General Motors Co., the nation's largest automaker, said it would stop advertising on Facebook.

At the same time, however, GM competitor Ford Motor Co. reaffirmed its commitment to Facebook, saying on Tuesday that its relationship was stronger than ever.

Facebook has more than 900 million users who log in at least once a month, but it makes only a few dollars per year from each one, chiefly through advertising. Advertisers have been complaining that it's difficult to make good use of Facebook.

A person briefed on GM's advertising said the company will stop running paid advertising on Facebook by mid-summer because advertising agencies and third-party companies that reviewed the ads determined the company wasn't getting much back for its $10 million in annual spending.

The person, who asked not to be identified because GM's ad strategy is private, said the Facebook ads didn't generate much in the way of action by consumers to consider GM products.

GM will, however, maintain Facebook pages for all of its brands and models. These are popular and do generate consideration of its products, the person said. But they don't generate revenue for Facebook.

GM spends about $30 million a year creating content such as pictures and videos to post on the pages, the person said.

More than 3.1 million people on Facebook "like" two pages dedicated to the Camaro muscle car, and 1.2 million "like" the Chevrolet brand. GM also has brand pages for individual countries. For instance, Chevrolet Egypt gets almost 200,000 "likes".

GM said that it constantly reviews whether its advertising in all media reaches the right age and income demographics. It could reconsider Facebook ads later in the year, the person said.

GM's advertising spending is a tiny fraction of Facebook's 2011 advertising revenue of $3.15 billion. But it could be symptomatic of Facebook's weak appeal to advertisers. Its chief conduit to reach users is through so-called "display ads" ? boxes that show up on the right hand of Facebook's page. They're tuned to users' interests and activities, but they don't connect as well as Google Inc.'s search-based ads.

A classic definition of an inventoritis is a person who ?Frequently wastes his time and his money trying to extend his invention to uses for which it is not suitable.? Henry Ford (Founder of the Ford Motor Company.)[1]

So? How does an inventor become an inventoritis. It is simple. So simple in fact it is hard to avoid slipping into this comfortable state. It all starts when the inventor wants to create a new invention. Many if not most inventors look at invention from the point of view ?What can I build that will make money?? and generally once the focus is on this question the inventor fails to answer the questions ? What does the market need??

It is not easy developing an idea that is innovative and so many inventors will only focus on aspects of the project in which there have experience and which they love the most, which is creating the invention. The market research that proves the need for the invention is often given curser attention; which is just enough to be able to answer superficial questions about who will actually use the invention. Many times the level of understanding about the need is an intuitive one based on what is believed to be ?common sense?. Little research is done understanding the target audience and developing a verifiable unique value proposition.

This puts the inventor in a very safe place and provides him the level of confidence needed in order to overcome the technical walls that will confront the inventor as the idea is developed. Failing to investigate the market need allows the inventor to remain blissfully ignorant of the reality of who will actually buy the invention. Instead the inventor relies on the picture he has painted himself on the market potential.

Now lets be fair to the poor self-delusional inventor. He is motivated to succeed. He wants to make the invention work. So when looking at the market the questions are often asked from the point of view as to how to justify the cost of developing the invention. I know this to be true because I myself have falling into this comfortable trap. I have learnt the hard way that building a product based on a dream is not the smart way to go. Now that I am focused on helping others overcome this nasty trap I can see a lot of my clients fall in as if diving into a tropical swimming pool. I find it easier to see the faults of others ideas because of an obvious observation of my position. I am not emotionally attached to the innovation that my clients hold so dear.

There are a couple of tall tail signs that will help you self diagnose if you are comfortably setting into the inventoritis mentality. Here is a quick test.

1. Are you building a Better Mouse Trap? Are you looking to improve something that is already on the market? The mindset here is a focus on the fact that the product is not already on the market and it should be because you might have needed it at one time or another. Maybe you have identified a hole in the market based on a technology void rather then a market need or maybe you have identified new technology (often promoted by an IC manufacture) that could provide the same level of service as something already on the market.

2. Poor knowledge of the Target Audience ? A cursor understanding of the market based on the inventor?s knowledge of the market is not good enough. Even talking to 5 to 10 close friends is not enough information to truly understand the target audience. Most inventors have a technical background and probably do not understand how to do market research. If you cannot answer marketing questions with knowledge from data obtained from surveys, focus groups or polled data you do not understand the market well enough. Consider asking questions such as. Do you know your target audience well enough to write a book? What motivates them to buy? How much would they be willing to spend? Where would they buy? Will the target audience still want to buy at this price point when the development is complete in 6 months, 2 years or more?

3. Poor Business Model ? Many new business people will look at the sale as the way of making money. There are many other ways of improving revenue and value to the business other than just the sale of the initial product. If you have a high in the sky view of your target audience without a clear road map as to how to get there or you have a weak understanding how others will make money selling your product you will find it hard to penetrate a competitive market place or find space on the shelf. Don?t forget distributors and sales people want to make money too.

4. Developing in Isolation ? If keeping your idea secret is more important than learning about what others think of your idea than you are most definitely suffering. You need to continuously communicate with people in order to learn about the need for the product, resources to help you develop the product and build relationships to help you build a business.

5. Rejecting Criticism ? If you find you are always justifying your position and explaining yourself to others who point out inconsistencies, lack of market knowledge on your part or you are regularly avoiding questions you do not know the answer to than you are too attached to the invention and likely avoiding answering questions because of lack of know how in obtaining the answers or unwillingness to accept a negative consequence as a result of the answer. It is important to take all criticism seriously and follow up on suggestions to get a complete understanding of the direction of the project and the needs of the target audience.

6. Lack of Support ? If you find that everyone around you questions your idea or does not share in your vision you need to understand why? It could be they do not like you?(ya like your mother does not love you.)? Or they do care and are attempting to tell you this idea is bad or you are not capable. If you are finding that people like your idea well enough but are unwilling to support you than it is possible they do not trust you or they lack confidence in your abilities to follow through with the project. It is very important to keep relationship strong, active and be honest with others in order to gain support when you need it most.

I have found these 10 points have helped me and many others overcome or avoid inventoritis.

1. Assume all of your ideas are horrible.
2. Know your industry and target market well.
3. Understand your business model and develop a leveraged based money strategy.
4. Build a network of trusted outside advisors whose opinions you value and ask their opinions often.
5. Build solid communication between marketing, engineering and sales.
6. Leverage your resources to the max. Gain as much support as possible.
7. Be willing to share your vision by sharing company ownership.

A stroke in certain parts of the brainstem, the place where brain meets spinal cord, can leave a patient aware of surroundings but able to move few if any voluntary muscles. The most advanced neurotechnologies attempt to get around the disconnection by piping electrical signals directly from a higher-level brain area, the motor cortex that initiates movement, to a robot arm.

Development of technologies for brain control of robotic limbs raise the prospect of practical substitutes for the biological appendages. One advance comes this week with the publication in the May 17 edition of Nature of a report about two patients, paralyzed and unable to talk, who succeeded in moving? a robotic arm with signals transmitted directly from their motor cortex. (Scientific American is part of Nature Publishing Group.)

The patients imagined moving the robot arm, which activated a sensor implanted in the cortex. The signals moved to a computer that decoded them and relayed instructions for the positioning of the arm. The BrainGate collaboration involved the Department of Veteran Affairs, Brown University, Massachusetts General Hospital, Harvard Medical School and the German Aerospace Center.

One of the patients, a 58-year-old woman identified in the paper as S3, directed a five-fingered robot hand attached to the mechanical arm to grasp a straw-equipped canister of coffee and bring it to her lips, the first time she had been able to perform that action since she suffered a stroke 14 years earlier. The Brown University team that has led the BrainGate demonstration is one of a series of several groups involved in a highly competitive and sometimes vituperative competition to move this technology forward. Last year? Miguel Nicolelis and colleagues at Duke University reported on a monkey that used thoughts to pick up and feel the texture of virtual objects. Andrew Schwartz at the University of Pittsburgh headed a project last year in which a quadriplegic man used a robotic arm to give his girlfriend a high five. Schwartz praised the most recent work as showing the viability of the technology: the electrodes that picked up the brain signals were implanted in one of the patients five years ago, a suggestion that the technology may persist intact for extended periods. ?This was a good demonstration of how a useful task could be carried out in a locked-in patient who had a long-term microelectrode implant lasting five years,? Schwartz says.

The idea of translating brain signals into commands that can control a robot goes back decades and has proceeded at times in fits and starts. Cyberkinetics Neurotechnology Systems, the company that started commercializing the BrainGate technology, ceased operations in 2009 before the current clinical trial reported on in Nature was initiated under the aegis of Massachusetts General Hospital. ?The most frustrating thing is to see great technology for which there?s not a lot of interest in funding because there?s not enough of a commercial market,? says James Cavuoto, editor of the Neurotech Reports newsletter. ?There?s only 10 or 11, 000 instances of spinal cord injury each year. It?s just not a big enough market for investors to get interested in.? Nonetheless, competition may have its benefits. Schwartz believes that progress in the field will eventually allow?paraplegics to emulate the ?smooth, skilled and graceful movement? that comes naturally to the biological appendage when picking up a coffee cup or scratching your nose.

Denver luxury home market inventory drops | Inside Real Estate News

Buyers paid $64.2 million for 41 luxury single-family homes and condominiums in April in the Boulder-Denver area, according to a report released today.

?Sixty-four million is nothing to sneeze at,? said independent broker Gary Bauer, who released the report that also showed almost a 50 percent drop in the unsold inventory from a year earlier.

The report also showed that while sales of single-family homes priced at $1 million or more are down in April almost 30 percent from April 2011, year-to-date sales volume is higher than in 2011.

An earlier report by Kentwood Real Estate showed a similar trend, although it did not include Boulder County, but focused on the counties in the Denver area. Both reports use Metrolist data.

In April, 20 of the luxury sales were evenly divided between Boulder and Denver counties, according to Bauer. There were eight luxury home sales in Douglas County, six in Arapahoe County and two in Jefferson County. All five condo sales were in Denver.

?The luxury market is almost a mirror of the overall market,? Bauer said. ?We are seeing a declining inventory for the luxury market, just like for the overall market.?

One reason that the April sales figures showed a big percentage drop, is because well-heeled buyers have been able to land excellent deals, knocking many homes out of the seven-figure category.

?Many homes that previously were listed at $1 million to $1.15 million or even $1.2 million, are now selling below $1 million,? Bauer said.

There are now only 596 single-family homes on the market, a 48.5 percent drop from the 1,157 active listings in April 2011.

One reason there is such a huge drop in unsold inventory is because owners of high-end homes are seeking options other than outright sales, Bauer said.

?Many owners who haven?t been able to get the price they want are leasing their homes for one-year or two-year options, often with the right to buy the home at the end of the lease,? Bauer said. ?Each deal is a separate and unique transaction.?

Often, the listing broker is helping the owner structure the lease arrangement, he said.

In April, the average sales price of a home was $1.6 million, compared with $1.5 million a year earlier and the median sales price was $1.4 million, compared with $1.3 million in April 2011.In April 2011, 51 luxury single-family homes sold for a total dollar volume of $76.million.

In April, five condos sold for a total of $6.2 million, compared with six condos selling in April 2011 for $7.7 million.

In the first four months of the year, there have been 161 total sales for $243.1 million, compared with 156 sales for $235.9 million during the same period in 2011. There have been 148 single-family home sales so far this year for $224.4 million, compared with 143 for $218 million through April of last year. Condo sales are unchanged, with 13 sales, although the condo dollar volume this year was $18.7 million, compared with $17.9 million in the first four months of 2011.

(AP) ? Attorneys for John Edwards on Tuesday indicated that their defense in his criminal trial for alleged campaign finance violations is winding down, but they did not say whether the former presidential candidate or his one-time mistress will take the witness stand.

Defense lawyer Abbe Lowell said his team will make a final decision about their remaining witnesses late Tuesday, but it was not immediately clear if that information will be made public before Edwards' trial resumes Wednesday morning.

After Tuesday's proceedings wrapped up with testimony focusing on financial records, Lowell said the defense could close out its case by calling Edwards, his oldest daughter Cate and Rielle Hunter, the woman with whom he had an extramarital affair while running for president in 2008.

Defense attorneys could also recall Edwards' ex-aide Andrew Young, the first witness for the prosecution when the trial began more than three weeks ago.

Lowell told U.S. District Court Judge Catherine C. Eagles that the defense may call several, all or none of the remaining potential witnesses before resting its case.

"We may also very well be done tomorrow," Lowell said.

Edwards' attorneys have called a series of witnesses this week aimed at shifting the jury's focus from the lurid details of a political sex scandal to the legal question of whether the former North Carolina senator's actions violated federal campaign finance laws.

Edwards is charged with masterminding a plan to use about $1 million from two wealthy donors to hide his pregnant mistress as he ran for the White House in 2008. He has pleaded not guilty to six criminal counts including conspiracy to violate the Federal Election Campaign Act, accepting contributions that exceeded federal limits, and filing false campaign-finance statements. He faces up to 30 years in prison if convicted.

To win a conviction, the government must convince jurors that Edwards' not only knew about the scheme to hide his mistress, but that he knew doing so violated the law and that he did so anyway.

Before winning a U.S. Senate seat in 1998, Edwards made a fortune as a personal injury lawyer renowned for his ability to sway jurors to award his clients huge settlements. Edwards' gifts of persuasion were so renowned within North Carolina that other lawyers would fill the courtroom to hear him deliver a closing argument.

Raleigh defense attorney Kieran J. Shanahan, who knows Edwards from his legal career, has attended nearly every day of his trial. He said he would be shocked if Edwards didn't take the stand in his own defense.

"The jury wants to hear from him and I believe Edwards wants to testify," said Shanahan, a former federal prosecutor. "He built his life on making big bets on his ability to convince jurors of his case."

But taking the stand is not without risk for Edwards. He would expose himself to what would likely be a withering cross-examination from prosecutors about his past lies and personal failings.

Prosecutors rested their case Thursday by playing video of a 2008 national television interview in which Edwards repeatedly lied about his extramarital affair and denied fathering Hunter's baby. Earlier testimony from a parade of former aides and advisers also painted an unflattering portrait of Edwards.

The defense, in turn, has focused on undermining the credibility of the government's key witnesses and showing that Edwards and his campaign never touched the money at issue.

Records introduced Tuesday showed Edwards' 2008 campaign finance chairman, the late Fred Baron, used personal funds to pay Hunter a $9,000 monthly cash allowance, on top of providing flights on private jets, stays at luxury resorts and a $20,000-a-month California rental mansion.

A wealthy Texas trial lawyer, Baron was one of two political supporters who combined gave about $1 million to help hide Hunter. Evidence shows regular deposits from Baron's account into Hunter's checking account, the sum totaling $74,000.

The deposits began in June 2008 ? several months after Edwards ended his White House run ? and continued until December 2008, two months after Baron died of cancer.

The timing of the payments is important. The defense has argued that most of the money at issue was spent after Edwards ended his presidential bid in January 2008 and can therefore not be considered a campaign contribution intended to influence the outcome of the election. Prosecutors claim Edwards was still seeking the Democratic vice presidential nomination or a future appointment as attorney general, providing a political motivation to continue hiding his affair.

Though Edwards' attorneys have conceded he had some limited knowledge of Baron's support for Hunter, they deny he knew anything about $725,000 provided to Young by the wealthy heiress Rachel "Bunny" Mellon, an ardent supporter of Edwards' campaign. But even if he had, the defense argues, the secret payments were not campaign contributions ? bur rather gifts intended to hide Hunter from Edwards' wife Elizabeth. She died in late 2010 after battling cancer.

The defense has also hammered the credibility of Young, once so close to Edwards he falsely claimed paternity of Hunter's baby in December 2008 when a tabloid first threatened to expose that Hunter was pregnant. The aide later fell out with Edwards, writing a tell-all book about the affair in 2010 that helped force Edwards to finally acknowledge his paternity.

The defense has used testimony from other witnesses and records entered into evidence to paint Young as a self-interested liar who fabricated whole scenes in his book. They also pointed out instances where Young, who testified under an immunity agreement with the government, contradicted his earlier accounts on the witness stand.

According to financial records introduced Tuesday, the Youngs received a total of $1.07 million from Baron and Mellon in 2007 and 2008. The couple later amended their tax returns for those yeas to indicate they spent about $191,000 on Hunter, paying gift taxes on the money. Defense attorneys argue that number is likely inflated.

Financial records for the couple show most of the money that the Youngs received from Mellon and Baron was spent on the couple's $1.6 million home in North Carolina.

Earlier Tuesday, Edwards' former lawyer, Wade Smith, testified about conversations he had with Alex D. Forger, an attorney for Mellon. Forger had earlier testified for prosecutors, saying he told Smith that Edwards acknowledged some of the "Bunny Money" had been given for his benefit.

Smith said Forger misunderstood their conversation.

"I would not ever quote my client to someone else," Smith testified, saying that would violate attorney-client privilege.

When Edwards' team rests its case, prosecutors will get the chance to call witnesses for the limited purpose of rebutting the testimony and evidence presented by the defense.

The two sides will then be allotted equal amounts of time to make their closing arguments before the judge instructs the jury on the details of what to consider in arriving at their verdict.

Shanahan predicted the defense will call Cate Edwards, a 30-year-old lawyer, to help humanize her father to jurors. Since Elizabeth Edwards' death, John Edwards has tried to lead a quiet life in Chapel Hill raising his two school-age children, Emma Claire and Jack. He also financially supports his youngest daughter, Francis Quinn Hunter, who is now 4 and lives in Charlotte with her mother.

Though Rielle Hunter's name is still on the list of potential witnesses, Shanahan said he would be surprised if the defense calls her to the stand.

Said Shanahan: "To bring in Ms. Hunter brings in a lot of negatives."
